User Content Terms & Conditions

Thanks for shopping with us and allowing us to share your reviews, feedback, stories, experiences, comments, and other communications, photos, videos, or any other similar content regarding our Sites and products (“User Content”). There are a number of ways for you to share User Content with us, including but not limited to: (i) uploading User Content directly to our website in various fields; (ii) responding to direct message, emails, and other similar communications sent by us or by our business partners on our behalf and specifically approving our Use (defined below) of your User Content; or (iii) by using various hashtags, phrases, or other identifiers, such as #icanvasapprove, in social media posts (such as Facebook, Instagram, Twitter, Pinterest, and YouTube) or in response to our emails.

When you share User Content with us, you are agree to make a number of representations and promises to us about yourself and your User Content, including that: (i) you are at least eighteen (18) years old; (ii) your User Content and the information associated therewith is accurate; (iii) your User Content will not violate or facilitate the violation of any law or regulation; (iv) your User Content does not violate or infringe any right of a third party, including copyright (e.g., you created and own the User Content and any images therein), trademark (e.g., your User Content does not include any brand names that you do not own), right of privacy (e.g., your User Content does not include any personal information or your photo was not taken in a place where others did not think you were taking photos), or right of publicity (e.g., you had permission from anyone to include them, their image, their name, and any other identifiable information about them in your User Content); (v) you have the right to grant us the licenses outlines below; (vi) your User Content will not cause injury to any person or entity; and (vii) your User Content will not contain, or provide links to, obscene, profane, or threatening language, malware, political campaigning, commercial solicitation, chain letters, mass mailings, any form of “spam”, or any material that could be considered harmful, sexually explicit, indecent, lewd, violent, abusive, degrading, or defamatory. You also agree to take all responsibility for your User Content and will indemnify and hold harmless iCanvas and our affiliates, directors, officers, employees, agents, vendors, and contractors, without any limitation, from and against any and all damages, liabilities, judgements, costs and expenses, including legal fees, arising out of or related to any claims arising from or related to: (i) our Use (as defined below) of User Content, or (ii) your breach of the above promises.

When you share User Content, you also you grant to us a non-exclusive, sub-licensable, fully paid-up, perpetual, irrevocable, royalty-free, transferable right and license to use, display, perform, transmit, copy, modify, delete, adapt, publish, translate, create derivative works from, sell and distribute your User Content and to incorporate the User Content into any form, medium, or technology, now known or hereafter developed, throughout the world, all without compensation to you, for any purpose, including but not limited to our promotional, marketing, and advertising purposes (each a “Use”). You irrevocably waive any “moral rights” or other rights with respect to attribution of authorship or integrity of your User Content that you may have under any applicable law under any legal theory; and (iii) agree not to challenge any of our Uses based on the above grants.  You also understand that we will collect and may use your name, image, social handle, captions, location information, and other personal information (“User Information”) that you provide to us with your User Content and you (i) specifically grant iCanvas the right to use your User Information in connection with iCanvas business activities and (ii) will not challenge iCanvas’ use of your User Information alone or in connection with other iCanvas materials or partner content.

By using or interacting with our Sites (iCanvas.com and all related domain names and iCanvas social media pages) you, our user, customer, and/or visitor of our Sites, agree to comply with and be bound by this User Content Terms and Conditions, as well as the Terms of Service and Privacy Policy found at iCanvas.com (collectively the “Terms”). We reserve the right, at our sole discretion, to modify or replace these Terms & Conditions at any time. If revision is material, we will make reasonable efforts to provide notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
